It is an upgrade.  Shutdown to single user, make sure everything is
*mounted*, and do the setld.

I though U01 (you sure that is what it is labelled?) was a complete
3.0+.  If so, it is U01 then 3.1.  If not it is 3.0, U01, 3.1.
