I thought I checked everything twice (hate to post here before I triple-check everything - but I did this time, sorry!!).... It turns out that the 3C501 does not use shared memory access - the problem was in iverlapping I/O addresses - the EMS board used more than I had calculated - after I set the EMS board to the lowest setting and the 3C501 to it's highest setting - poof - everything was kosher - it works like a charm.
