SunDesk must be in the System Folder at ShutDown because at Shutdown, it checks to make sure that the "sysz" resource has enough memory allocated to load the icons on next boot. If not, SunDesk changes its sysz to the amount needed to run before shutting down. Why would one need to change the amount of memory required? If one adds more icl8's and ICN#'s to the SunDesk Icons file, the system will require more memory to load them at next boot. Why the File has to be explicitly in the System Folder may be a good question. Obviously, the path to the file is hardcoded into the INIT.
