I have made some simple tests and get the conclusion that SHARE is looked for in the place from which COMMAND.COM is loaded. If your SHELL variable points to a non-root directory COMMAND.COM, SHARE won't be loaded if it isn't in that directory, even if it is in the root. If you have no SHELL variable, it will be loaded if it is in the root.
