It allows you to copy a protected disk into a file, which can be uploaded to a Pirate BBS. A pirate on the other end can download it, and use ProRebel to create a new "protected" disk. This program also allows you to have several versions of Procopy being controled by one front end (GEM). It has nothing to do with ProCo, it is an illegal product.
