Here in Arizona, over 80% of the state law relating to aviation is a terribly stringent set of regulations on "flying clubs". My (layman's) interpretation is that the government does not want a business (FBO) to escape taxation simply by calling itself a "flying club". One of the ways that a group can establish itself as a "flying club" rather than FBO is to allow only members to fly, and all members must be at least part owners of the aircraft.
