Katarina qualifies as a companion, as she was a person who travelled on the TARDIS as a friend of the Doctor's, regardless for how long a time, with the intention of continuing on to later journeys and adventures. (Hence, Sarah Kingdom qualifies, whereas the Master doesn't (he fails point one), and the BA crew in Timeflight doesn't (they fail point two).
