A simple escrow arrangement won't necessarily work. You need real good legal advice if you want to count on obtaining schematics and source in case of company failure. (The way it works is that the bankruptcy trustee of the company sees this escrow of schematics and source as an asset of the company and so can't let it go to you!) --henry schaffer n c state univ
