  THORN EMI plc and SGS-Thomson Microelectronics BV have announed that they
have reached a preliminary agreement regarding the proposed acquisition of
INMOS Limited and its subsiduries, by the Holding Company of the SGS-Thompson
Microelectronics Group, associated with a participation of THORN EMI plc in
in such Holding Company . This agreement is subject to the approval of the
respective Boards of the Parties, their Shareholders, and various regulatory
Authorities.
